Vestry Minutes

Present: The Rev. Elizabeth Rechter, Nancy Sellas, Sam Bird, Leslie Derrick, Chris Gilbertson, Mary Hill, Ann Jones, Gary Mangiofico, Ed Merrilees, Donna Phillips, David Rhea, Kathleen Dapper, Tom Davis, and John Flemming.

Absent: Sam Hawkins

Nancy Sellas, Senior Warden, opened the meeting with prayer at 12:00 p.m.
The Vestry reflected on “What does church mean to me?”

Finance Committee Report – John Flemming and Tom Davis

John reviewed St. Mary’s capital improvement projects 2003-2004, including sources and uses of funds. John reviewed St. Mary’s 2014 Capital Fund and loan balance, including sources and uses of funds.

Chris Gilbertson moved to “rescind the Vestry’s enactment (6/22/14) to incorporate the mortgage payments into the annual operating budget and to return to previous tracking as a separate item.”

Seconded – Gary Mangiofico. Approved.

Financial Reports – Kathleen Dapper

1) Operating Income & Expense for September 2014.

2) Refinance: Plaza Bank issued a Letter of Intent to refinance St. Mary’s mortgage debt.

The Letter of Intent is handed to the Vestry, Rev. Elizabeth, and the Finance Committee on this date and is attached to the Treasurer’s report.

Estimated loan amount: $360,000
Amortization: 25 years
Interest rate: 4.75% fixed – 5 years
Fees: $2-3,000 included in loan amount
Prepayment Penalty: None

Estimated closing date: December 1, 2014

Gary Mangiofico moved to “authorize Rev. Elizabeth to negotiate and execute all loan documents consistent with the letter of intent.” Seconded – Donna Phillips. Approved.

3) Resurrection Garden

budget: $34,050.00; donations: $24,738.99; L.B. Water Dist.: $3500-4000 (expected in Nov.); expenses: $20, 401.85; YTD net income: $4337.14; needed revenue: estimated $5300-5800.

Christmas Carols/Bazaar/Auction/Supper – Sunday, December 14 – Gary Mangiofico

4:00 p.m. Christmas Carols & Holiday Message; 5–7:00 p.m. Dinner, Bazaar, Auction. Inform Gary about items for auction. Donna has ordered ornaments for sale. Volunteers needed for cheese platters, desserts, and wine. Also: set-up and clean-up.

Rector’s Report – Rev. Elizabeth

Rev. Elizabeth Elizabeth is preparing for the CREDO Retreat, November 3 – 10.

This clergy retreat focuses on the total well-being of the clergy.

The Outreach Committee will be reinstated.

Junior Warden’s Report – Mary Hill

1) Michael Zelichowski Construction replaced valves, supply lines, faucets, and flappers for all toilets and sinks due to leaking water and frozen shut-off valves.
2) Ocean Air Conditioning & Heating did their semi-annual servicing of heating/cooling system.
3) South Coast Fire Protection serviced all fire extinguishers.
4) Our flagpole was determined unsafe by the Los Angeles Flagpole Company.
They recommended removal & replacement with new pole in another location.
Rev. Elizabeth will visit Don Whitlatch, neighbor who contributed for a new flag.

Stewardship – Donna Phillips

*“Praying with the Saints” November 1, 6:00 p.m. in Columbarium.
Leslie and Mary volunteered to help.

Community Thanksgiving Service – Sunday, November 23, at 6:00 p.m. at St. Mary’s

The Community Thanksgiving Service is sponsored by the Laguna Beach Interfaith Council. Nancy requested that the Vestry arrive at 5:00 to usher. Finger food requested for reception. Food & Cash collected will go to Laguna Food Pantry.

Vestry Nominating Committee – Nancy Sellas

A Nominating Committee is being formed.

Old Business

The Peace Pole restoration is not completed. Pat August is determining new lettering. 2014 is the 50th Anniversary of the Vietnam War.

New Business

ECW has requested permission to place a bench in the upper garden in memory of Lylah Almon. The Vestry requests that ECW coordinate with the Gardening Committee.
